Welcome to Codermoon, a digital agency based in Bangladesh providing web development, UI/UX design, motion design, SEO, and related services. By engaging with our services or accessing our website (www.codermoon.com), you agree to be bound by the following Terms and Conditions. Please read them carefully.
By using Codermoon’s services, you agree to these Terms and Conditions, which form a legally binding agreement between you (the "Client") and Codermoon ("we," "us," or "our"). If you do not agree, please do not use our services.
- Scope: Codermoon provides digital services including web development, UI/UX design, motion design, and SEO, as detailed in project-specific agreements or proposals.
- Project Agreements: Each project will have a separate agreement outlining deliverables, timelines, and costs. Any changes to the scope must be mutually agreed upon in writing.
- Client Responsibilities: You agree to provide accurate information, materials, and timely feedback to facilitate project completion.
- Pricing: Fees are outlined in project agreements. All prices exclude applicable taxes unless stated otherwise.
- Advance Payment: A minimum advance payment of 20% of the total project fee is required before commencing any work.
- Invoicing and Payment: Invoices are issued as per the project agreement. Payments are due within 7 working days unless otherwise specified. Late payments may incur a 1.5% monthly interest charge.
- Refunds: Refunds are not provided for completed work. Partial refunds for incomplete projects may be considered at Codermoon’s discretion.
- Ownership: Upon full payment, Codermoon grants you a non-exclusive, perpetual license to use deliverables for their intended purpose. Codermoon retains ownership of pre-existing materials, tools, or frameworks used in development.
- Client Materials: You warrant that any materials provided to us (e.g., logos, content) are owned by you or you have permission to use them. You indemnify Codermoon against any claims arising from such materials.
- Portfolio Rights: Codermoon may showcase completed projects in our portfolio unless otherwise agreed.
- Refunds: Refunds are not provided for completed work. Partial refunds for incomplete projects may be considered at Codermoon’s discretion.
Both parties agree to keep confidential any proprietary or sensitive information shared during the project, except as required by law.
- By Either Party: Either party may terminate a project agreement with 15 days’ written notice, subject to payment for work completed.
- Breach: Codermoon may terminate immediately if you fail to make payments or breach these terms.
- Effect of Termination: Upon termination, you must pay for all services rendered up to that point.
- Our total liability is limited to the amount paid by you for the specific service in question.
- We do not guarantee that our services will be uninterrupted or error-free.
- Codermoon warrants that services will be performed with reasonable care and skill.
- No warranties are provided for third-party tools, platforms, or services used in projects.
These Terms and Conditions are governed by the laws of Bangladesh. Disputes will be resolved in the courts of Dhaka, Bangladesh, unless otherwise required by applicable law in your jurisdiction.
Codermoon may update these Terms and Conditions at any time. The latest version will be posted on our website, and continued use of our services constitutes acceptance of the updated terms.
